TUPE – The Transfer of Undertakings
(Protection of Employment) Regulations

TUPE applies to employees in all businesses in the UK both on business transfers and service provision changes. Business transfers are when there is a transfer of a business or part of a business from one employer to another, which can include trade sales, buy outs, mergers or asset sales. Service provision changes are when a service which is either provided in house is awarded to an external contractor or vice versa or is transferred from one contractor to another.

All employees are protected from suffering detriment or being unfairly dismissed as a result of these transfers. However, the regulations impose obligations on employers to consult and inform. This is an onerous obligation and failure can result in large fines.
